Governance

Governance is the process of providing strategic leadership and entails the functions of setting direction, making policy and strategic decisions, overseeing and monitoring organizational performance and ensuring overall accountability.  It involves multiple functions and engages multiple stakeholders.

The Board of Directors is ultimately responsible for all acts undertaken in AmCham Belgium’s name and it is primarily responsible for providing strategic leadership and ensuring good governance.  The Board and its individual members have three fundamental duties:

  1. A duty of care in the process of making informed decisions;
  2. A duty of loyalty to act in good faith and advance the organization’s interests; and
  3. A duty of obedience to the organization's mission, Articles of Association and bylaws.
